Terms of service (beta)
These terms govern the use of AverCut during the beta. Please read them — by creating an account you agree to them.
1. Introduction
AverCut — a presentation website and an online studio for creating vertical videos with artificial intelligence (the "service") — is operated by [TO FILL: company name], company ID [TO FILL: company ID (IČO)], registered office [TO FILL: registered address] (the "operator", "we", "us").
The agreement to use the service is concluded when you create an account. If you use the service on behalf of a company, you confirm that you are authorized to represent it; these terms then bind the company as well.
2. Definitions
- Studio — the web application for uploading, editing and exporting videos.
- Workspace — your space in the studio with projects, library, brand kit and AI agent.
- User content — everything you upload or enter: videos, audio, scripts, logos, fonts, B-roll, music, reference videos, texts and links.
- Output — results created by the service: cut suggestions, captions, graphics, finished videos, descriptions and other AI suggestions.
3. Beta
- The service is in beta. Access is free and by invitation only.
- Features, limits and design may change; some features may be temporarily unavailable or discontinued. We do not guarantee uninterrupted or error-free operation.
- We may end the beta or turn it into a paid version. We will notify you at least [TO FILL: 14] days in advance so you can download your videos and data.
- Download finished videos regularly — the service is not meant for long-term archiving.
- We may use feedback you send us to improve the service, without any obligation to compensate you.
4. Your account
- You need an account to use the studio. Provide accurate information and verify your e-mail.
- The service is available to people over [TO FILL: 18] years of age.
- Keep your credentials safe and do not share them. We recommend enabling two-factor authentication. Tell us without undue delay if you suspect misuse of your account.
- One person may have one account; creating additional accounts to bypass limits is not allowed.
5. Your content and rights
- The rights to content you upload remain with you or their owners.
- You grant us a non-exclusive, royalty-free permission to store, process, analyze (including with AI), edit and display your content to you — solely to the extent needed to provide the service and for as long as the content is stored in it. We do not publish your content and we do not use it for promotion without your consent.
- You confirm that you hold all necessary rights and consents to your content — in particular to the recordings, to the likeness and voice of people in the video, and to third-party music, logos, fonts and footage.
- Reference videos for style analysis may only be uploaded if they are yours, you have their author's permission, or the law allows it. The analysis only derives a general style (pacing, cuts, caption type, graphics); output must not copy protected elements of other works.
- You are responsible for your content and its compliance with the law.
6. Acceptable use
You must not use the service for:
- content that is unlawful or infringes intellectual property, personality rights or data protection;
- deceptive videos that impersonate someone or attribute statements to them without consent (deepfakes), or spreading disinformation;
- content inciting hatred, violence or harassment; any content sexually exploiting children; intimate content without the consent of the people shown;
- spam, fraud or distributing malicious code;
- circumventing limits, technical protections or security, automated bulk access, load testing or reverse engineering;
- reselling the service or making it available to third parties without our consent.
If you breach these rules, we may remove content, stop processing or suspend your account (section 11). We may report unlawful content to the competent authorities.
7. AI output
- Output is created automatically by artificial intelligence and may contain errors — for example misheard words in captions, unsuitable cuts, inaccurate descriptions or graphics that don't fit the video.
- Always review output before publishing. You are responsible for publishing it and for compliance with social-network rules, advertising rules and the law — including labeling content created or edited with AI where the rules require it.
- Output may be similar to other users' output; we do not guarantee its uniqueness.
- We grant you [TO FILL: scope of rights to output — to be reviewed by a lawyer]. The rights to your own content contained in the output remain yours.
- You may use the Signature motion preset and our other templates in your output; you must not copy or distribute the templates themselves outside the service.
8. Limits and fair use
- The scope of the beta is defined by the plan limits shown in the studio (e.g. videos per month, source footage length, file and storage size).
- We may adjust limits during the beta. Under high load or to prevent excessive costs, we may temporarily delay or pause processing.
9. Privacy
Processing of personal data is described in the Privacy policy; storage of technical items in your browser on the Cookies page.
10. Liability
- The beta is provided free of charge, "as is" and without any availability guarantee.
- To the extent permitted by law, we are not liable for damage caused by unavailability of the service, loss of data, errors in AI output or publication of output. [TO FILL: liability cap and exclusions, if any — to be reviewed by a lawyer]
- We do not exclude or limit liability for damage caused intentionally or by gross negligence, for harm to life, health or natural human rights, or wherever the law does not allow it.
- If you are a consumer, nothing in these terms limits your rights under the Czech Civil Code and consumer protection law, including rights for defective digital content.
- You are liable for damage you cause by breaching these terms (e.g. by uploading content you have no rights to).
11. Suspension and termination
- You can close your account at any time in the studio settings. After closing, we delete your data as described in the privacy policy.
- We may suspend or terminate your account or processing if you breach these terms, abuse the service, for security reasons, due to a legal obligation or when the beta ends (with notice under section 3). We will tell you the reason unless the law or security prevents it.
12. Paid plans
We do not offer paid plans during the beta. If we introduce them, they will be governed by separate terms and a price list that you will have to accept explicitly before ordering; payments will be processed by Stripe. [TO FILL: subscription rules, consumer withdrawal from digital-content contracts, invoicing]
13. Changes to these terms
We may change these terms, in particular when features, laws or the beta status change. We will announce changes by e-mail or in the studio at least [TO FILL: 14] days before they take effect. If you disagree, you can close your account; by continuing to use the service after the effective date you accept the change.
14. Governing law and disputes
- These terms are governed by the law of the Czech Republic. Consumers keep the protection of the mandatory laws of their country of residence.
- We try to resolve disputes amicably — please write to us. Consumers may use out-of-court dispute resolution at the Czech Trade Inspection Authority (adr.coi.cz).
- [TO FILL: court jurisdiction for disputes with businesses]
